1. OUR LIABILITY TO YOU

1.1 These Terms of Use do not exclude our possible liability to you in the event of willful misconduct or in the event of any circumstance under which it would be unlawful to exclude or seek to limit our liability to you.

1.2 BF cannot be held responsible for your use of the Site and its contents in a manner that does not comply with these Terms of Use and with the laws in force, except as provided in the previous paragraph.

1.3 BF declines all responsibility for any damage deriving from inaccessibility to the services offered on the Site or from any damage caused by viruses, damaged files, errors, omissions, service interruptions, deletion of contents, problems connected with network, providers or telephone and/or telematic connections, unauthorized access, data alterations, failure and/or defective functioning of your electronic equipment.

2.2 All copyright or intellectual property rights in all Content on the Site are owned by us or our licensors. The reproduction, in whole or in part, in any form, of the BF Site and its contents is prohibited, without the express written consent issued by BF.

3. CONTENTS

3.1 We have taken every precaution to prevent content from being published on the Site that describes or represents scenes or situations of physical or psychological violence or such that, according to your sensitivity, may be considered harmful to civil beliefs, human rights and the dignity of people, in all its forms and expressions.

4.1 We recommend that you carefully read these General Conditions of Sale (“General Conditions of Sale“) before ordering the products offered on the BF Site (“Products“). These Conditions, together with our Privacy Policy and the Conditions of Use, govern mutual relations in relation to the use of the BF Site and your purchase of our Products through the aforementioned Site or by telephone communication. 4.2 These General Conditions of Sale concern distance selling via internet to retail consumers of the Products, governed in particular by Legislative Decree no. 206/ 2005 (“Consumer Code“) and by Legislative Decree no. 70/2003; the following information is provided in accordance with Art. 49 of the Consumer Code.

4.3 To send us your purchase order (“Order”) you must follow the procedure indicated on the Site and described in article 7 and click on the “Complete the purchase and pay” taking care to read and accept these Conditions of Sale. Please note that, in the event of non-acceptance of these Terms of Sale, it will not be possible to place the Purchase Order for any Product on our Site.

6. WHO CAN PURCHASE OUR PRODUCTS?

6.1 To purchase our Products you must have reached the age of majority established by law in your country of residence.

7. METHOD OF CONCLUSION OF THE CONTRACT

7.1 Orders are placed through the Site in the manner described below:

-> when you are ready to make a purchase, click on “add to basket” to place the Products you wish to purchase in your cart. Then continue by clicking on “Complete purchase and pay” by accessing our secure servers to complete your Order.

-> If this is your first purchase on the Site, at the end of the payment transactions you can decide to create an account with us using your email address; in that case you will be prompted to create a password. The password must remain secret and must not be disclosed or shared with anyone else. A secure storage tool for the password is set up to allow you to recover it in case of loss during any future purchases. You will then be asked to enter your email address. The e-mail address with which you register must be the same one to which the confirmation of your Order will be sent.

-> If you are already registered on the Site, you can enter your login credentials to access your account.

-> Please indicate your preferred delivery address (if there are applicable shipping charges, they will be applied to the total amount and it will be possible to check the amount before sending the Order), to confirm your address and to enter the chosen means of payment among those enabled.

-> We will then send you a confirmation e-mail (“Order Confirmation”) to acknowledge receipt of the Your order. The message will be automatically sent to the email address with which you registered. This Order Confirmation does not imply that your Order has been accepted. In fact, your Order constitutes a mere contractual proposal for the purchase of the Products at the price indicated in the same Order.

-> All Orders are subject to our prior acceptance. We reserve the right to decline any Order at our discretion and are under no obligation to accept them. However, we remind you that, by clicking on the “Complete Purchase and Pay” button, you will assume the obligation to pay the price of the Product(s) if your Order is accepted.

-> After sending the confirmation email (“Order Confirmation”), we will make sure that we are able to execute your order. We will proceed to process the payment information you provide in order to verify the crediting of the payment of your Order. The validity of the Order is subject to the availability of the Products. In the event that the Products are no longer available, BF will notify it within 15 days of receipt of the Order Confirmation and in this case the sale will be deemed not completed and the sums paid will be returned to you.

-> Any acceptance of your Order is subject to payment and will be confirmed by us by sending a second e-mail (“Acceptance of Order”) in response to your Order and the shipment of the Product/s to the address indicated by you for shipment. The message will be sent automatically to the e-mail address you indicated during registration.

-> As soon as your package is delivered by us to the courier, you will receive a further notification of successful shipment (“Shipping e-mail Shipping” ) showing the tracking number assigned to the package by the courier in order to allow you to monitor the shipment.

7.2 These General Conditions of Sale can be modified by BF at any time. Between BF and the User, the version of the General Conditions of Sale in force at the time of conclusion of the sales contract will prevail.

7.3 The conclusion of the on-line sales contract takes place with the payment of the Product/s based on the payment methods chosen by you among those available on our Site. The on-line sales contract of the Product(s) purchased on the Site is therefore considered concluded when BF receives payment of the price established for the same by the User, as well as indicated on the Site at the time of purchase by sending the User the Order Acceptance email (“Contract“).

7.4 BF is not bound by conditions of sale other than these, and has the right to vary, without notice, the BF products offered for sale on the Site, their images and characteristics.

7.5 Acceptance of these Conditions of Sale by the User is essential for completing the purchase procedure for BF Products. After the conclusion of the Contract, the obligation arises for BF to deliver the Products in accordance with the provisions of the Contract.

7.6 The Contract only concerns the Product(s) the shipment of which has been confirmed by sending the Delivery email. We will not be required to supply further Products included in any other Order until the shipment of said additional Products is confirmed with a separate Shipping email.

7.7 The Order contains all the essential elements of the Sales Contract including the information required by law. We kindly ask you to check the Purchase Order in advance before sending it to us and to check that the resulting confirmation email contains correct information that is compliant with the Order placed.

7.8 In the event that problems are found with your Order, you will be contacted by BF.

7.9 The validity of the Sales Contract is subject to the availability of the Products. BF undertakes to report the possible non-availability of a Product in the relative product sheet of the Website. However, we do not guarantee daily updates regarding the availability of the Products on the Website. In the event that you purchase a product on our Website which proves to be unavailable , we undertake to notify you within 15 working days of receipt of your Order and to return the full price paid including the amount paid by you for the shipment without any further debit or charge to be borne by BF.

8. SHIPMENT

8.1 Once the payment has been received and the Order Acceptance has been sent, we will take immediate action to prepare the purchased Products and send them to you by courier. For Products that are already available, as a rule, the time required by us for such preparations is 3 working days. For Products ordered with a special customization, times will vary depending on the type of processing.

8.2 The delivery of the purchased Products will be made only after payment by the User. Shipping times vary from country to country and will be indicated in the Order Acceptance e-mail sent by BF to the e-mail address provided during registration on the Site by the User.

Deliveries within the European Community are not subject to the application of any customs duty. Deliveries outside the European Community may be subject to local taxes and customs.

Only for some countries will it be possible to estimate and anticipate the payment of local and customs taxes; for others, however, these costs must be settled by the recipient upon arrival at customs or upon delivery of the package containing the Products. Following the User’s request for cancellation of the Order for Products already shipped/cleared through customs, BF will refund the price paid by the customer by deducting the costs incurred. BF will not refund taxes and customs duties even if prepaid. Refusal to pay local and customs taxes involves a recall of the Order and its cancellation. The costs incurred will be deducted from the refund.

8.3 BF ships and delivers its Products using primary couriers such as DHL and FEDEX. The shipping costs of the Products are at your expense and the relative price will be detailed in the Order and in the Order Confirmation. Products with a value greater than €1,000.00 will be sent by insured shipping. Insured shipments will always be handled by specialized operators who will also take care of any customs clearance operations for the Products.

8.4 Delivery times vary according to the country of destination and are indicatively:

-> Italy & Europe: 1-4 working days;

-> US & Canada: 4-5 business days (excluding customs clearance times);

-> Rest of the World: 7-10 working days (excluding customs clearance times);

8.5 Shipping is free for orders over €1,000.00 (or the equivalent in US $ at the current exchange rate) to be delivered to the same delivery address indicated by the User in the Order. Below this amount, shipping costs are excluded from the prices indicated on the Site; for Italy and Europe they are quantified based on the weight and dimensions of the package, as follows:

-> 0-3 kg €9.40

-> 3-5 kg €10.90

-> 5-10 kg €12.90

-> 10-20 kg €16.40

These costs are however indicated in the e-mail of the Order Confirmation, together with the delivery times.

8.6 In the event of an unjustified refusal to receive the Product, BF will have the right to terminate the sales contract, without prejudice to compensation for damages suffered, including any costs for storing the Products.

9. PRICES AND PAYMENTS

9.1 Unless otherwise indicated in writing, all the prices of the Products and the shipping and delivery costs indicated on the Site and in the Order are to be considered VAT included and expressed in Euros. The validity of the prices indicated is always and only that indicated by the Site at the time the Order is placed. Product prices, offers and shipping and delivery costs may vary over time.

9.2 Prices and shipping costs may be subject to change at any time, without prejudice to Orders already confirmed by sending the Acceptance e-mail .

9.3 Prices are checked regularly. However, if BF were to find a variation or an error in the price upon receipt of your Order, the User will be contacted to verify that he still intends to proceed with the purchase by canceling the erroneous Order and applying the correct price. In case of confirmation in this sense, following the payment, BF will send the Order Acceptance.

9.4 For Orders to countries outside the European Union, the prices of the BF products indicated on the Site do not include VAT and the related import taxes. The latter will be entirely borne by the purchasing User. BF may at its discretion decide to refund, in whole or in part, the import taxes, subject to written agreement by e-mail with the User/Purchaser.

9.5 All payments must have already been made at the time of shipment of the Products. No shipment of the Products will be made until full payment has been received.

9.6 To pay the price of the Products and the related shipping and delivery costs, you can follow one of the methods indicated in the Order form on the Site.

9.7 Below is a summary of the methods and characteristics of the accepted payment systems:

-> Credit-debit cards Visa, Mastercard Visa Electron.

For online Orders on our Site, BF accepts both credit card and prepaid card payments (for example, PostePay) without any additional charge on the cost of the Products and of the shipment. It is understood that the User must be the holder of a valid credit card when ordering the Products purchased on-line and that the name on the credit card must be the same indicated on the billing information. In the absence of these conditions, it will not be possible to proceed with the Order. At the time of purchase on-line, together with the Order Confirmation, the reference bank will only pledge the amount relating to the Order from the present availability of your credit card . The amount will be debited immediately upon sending the payment via the online platform. With regard to payments made by card, credit and debit card holders may be subject to authorization and authentication. BF is not responsible for any delay or non-delivery of the Products ordered if the issuer of your card or our service provider refuses or does not authorize or validate the payment for any reason. At no time during the purchase procedure is BF able to know the information relating to the User’s credit card which is transmitted via a secure connection with an encrypted protocol directly to the site of the entity that manages the electronic payment (bank or Paypal). No computer archive of BF will keep such data. Payment may be subject to online transaction fees from your card issuer; this commission is not attributable to BF.

If you have a Paypal account, BF accepts this method of payment.

-> Bank transfer.

You can pay for your Order by bank transfer, quickly and securely, using your home banking and reporting in the description: User’s name and surname and the “object code” shown in the Order Confirmation. The amount will be charged directly to your current account and the shipment will take place only after the actual crediting to the BF account. The payment of the Order must be made when it is forwarded to BF with the possibility that this will be automatically canceled by BF if the credit is not made within the following 7 (seven) days.

9.8 The payment receipt or invoice (if subject to VAT) will be made available after payment in the “Your orders” section of the BF website.

9.9 BF employs the best commercially available security measures in the industry; the payment procedure takes place on a secure server using the SSL (Secure Socket Layer) protocol.

10. DELIVERY, VERIFICATION AND PASSING OF RISKS

10.1 The delivery of the Products will take place at the address indicated by the User in the Order and in compliance with the times communicated with our Acceptance e-mail. In some cases it may not be possible to guarantee an exact delivery date.

10.2 If the Products have not been delivered within 60 days of receiving the Acceptance e-mail or on another date possibly agreed, the User has the right to withdraw from the Contract and any monies paid will be refunded without further delay.

10.3 In the event of an unjustified refusal to receive the Products, BF will have the right to terminate the Contract, without prejudice to compensation for the damages suffered (including any costs for shipping and storing the Products).

10.4 At the time of delivery, the User is required to verify the integrity, quantity and type of Products delivered, the fact that they comply with those ordered and the provisions of the Order, the fact that the packaging is intact and undamaged, carrying out the checks that can be carried out on the basis of ordinary diligence and immediately notifying the courier of any defects or discrepancies with respect to the Order, noting them on the delivery note.

10.5 The title and the relative risks of the Products pass to the purchasing User upon delivery.

11. DAMAGED OR DEFECTIVE PRODUCT AND WARRANTY

11.1 Upon delivery, the User is required to carefully check the Products in order to verify the presence of any defects or damage. If the presence of defects or damage is found, these must be immediately reported by e-mail to info@bluefdw.com within and no later than 7 days from the day of receipt of the Product. If it is ascertained that the damage to the Products occurred before delivery, or that the defect is not attributable to the User’s fault or use, we will arrange for the relative repair or replacement or for a full refund of the price paid, including any shipping costs, unless the defect or damage arises from wearing or using the Products. If the purchasing User prefers the repair or replacement of the Products, please contact us and we will replace or repair the item at no additional cost, where possible. In addition, we will reimburse the costs incurred for returning the item or we will send our courier to return the damaged or defective item.

11.2 With regard to “consumer” Users, the provisions relating to “consumer goods” pursuant to the Consumer Code (Legislative Decree 206 of 6 September 2005), and in particular the legal guarantee of conformity pursuant to art. 129, as well as the current provisions applicable on the matter. In particular, in the event of a lack of conformity of the Products not deriving from normal use of the Product, the User has the right to restore, without charge, the conformity of the Product pursuant to art. 130 of the Consumer Code. In the event of impossibility to carry out the above remedies, the User has the right to an adequate reduction in the price of the Products, or to the termination of the Contract. These rights are considered waived if any lack of conformity is not notified within two months from the date on which it was discovered.

12.3 The User is required to report by registered letter with return receipt the lack of conformity to BF within the peremptory term of two months from the date of discovery of the defect. BF is liable when the lack of conformity occurs within two years of delivery. In any case, the action aimed at asserting the defects not fraudulently concealed by BF is prescribed within 26 (twenty-six) months from the delivery of the goods.

12.4 The guarantee is valid on condition that the Products are used correctly, in compliance with the relative instructions for use and recommendations, and upon presentation by the User of the delivery documentation and the order number. Without prejudice to the mandatory limitations established by law, BF does not offer any guarantee or declaration of conformity of the Products other than what is expressly indicated on the Site, including the conformity of the Products with technical, quality or standard requirements of any kind, for specific purposes or details.

12. PRODUCT INFORMATION

12.1 Despite all efforts made to reproduce the Products on the Site in the clearest and most realistic way possible through the use of high quality photographic and videographic equipment, some articles may appear slightly larger or smaller than their actual size due to defects in the screen or photographic techniques used. Other articles could be represented on a larger scale than the actual dimensions in order to highlight all the details, or on a reduced scale in order to show the object in its entirety. Furthermore, the details displayed on the screen (such as colours, designs, textures, etc.) depend on the characteristics of the device used and therefore may not faithfully reflect the real properties of the Products that will be delivered to you.

13. OTHER USEFUL INFORMATION

13.1 These Conditions of Sale and any other document expressly referred to in them constitute the entire agreement between the parties with reference to the object of the Contract. The Contract and any further communication between the parties will be formulated in Italian or English.

13.2 The form, existence, construction, execution, validity and any other aspect of these Conditions of Sale or of any of the clauses contained therein are governed by Italian law.

13.3 The User has the right to request the application of an out-of-court settlement mechanism for disputes arising from the Contract with the competent bodies set up by the Chambers of Commerce pursuant to the Law of 29 December 1993, n. 580, as well as the mediation procedure pursuant to Legislative Decree n. 28/2010 and subsequent amendments, in accordance with the provisions applicable by the body selected by you, without prejudice to the possibility of making use of the voluntary negotiation procedures referred to in Article 2, paragraph II of the aforementioned Legislative Decree, as well as the complaint procedures provided for by the service charters.

13.4 Any invalidity or ineffectiveness ascertained in the courts of one or more clauses of these Terms of Sale does not affect the validity and effectiveness of the remaining provisions.

13.5 No delay or failure to exercise any faculty, rights or remedies granted pursuant to these Terms of Sale shall be deemed to constitute a waiver thereof, nor shall the partial exercise of such powers, rights or remedies prevent the further exercise of the same in the future.

14. APPLICABLE LAW AND JURISDICTION

14.1 These General Terms and Conditions of Sale and the related Sales Contract concluded between BF and the User are governed by Italian law and in particular by Legislative Decree no. 70/2003 on electronic commerce, as well as, with reference only to consumer customers, as defined in art. 1 Legislative Decree No. 206/2005 (Consumer Code), without prejudice to any mandatory provisions of the law of the User’s country of residence that may be applicable.

15. CONSERVATION OF THE CONTRACT

15.1 The Sales Contract and the documents relating to the Orders are memorized, kept and archived at our office, for the fulfillment necessary for the execution of the contract, as well as for the related fulfillment and prescriptions required by law, in compliance with the Privacy Code (Legislative Decree 196/2003).

15.2 You may request to access and view the documents you are responsible for, upon written request to be sent to us by e-mail. We undertake to provide a copy of these documents within 10 working days of receiving your request.
 

16. RIGHT OF WITHDRAWAL

16.1 If the User is a “consumer” – i.e. does not purchase the Products, in whole or in part, for purposes relating to commercial, entrepreneurial, craft or professional activities – pursuant to Article 52 of the Consumer Code, he/she has the right to withdraw from the this Contract and to receive a refund of the price paid except in the cases referred to in Article 59 of the Consumer Code (for example in the case of the purchase of personalized or engraved Products, unless such Products were already damaged or defective at the time of delivery or have been delivered incorrectly). This right to withdraw from the Contract may be exercised at any time before the Product is delivered and no later than 14 days after the date of delivery of the Products subject to the Order (the “Cooling Period“).

16.2 To exercise the right of withdrawal, the User must send an email to info@bluefdw.com within the aforementioned terms.

16.3 The Products, adequately insured, must be returned at the User’s expense and risk by shipment to: BlueForward s.r.l. at the headquarters in Viale Giulio Cesare, 7 00192 – ROME (RM)

16.4 The Products must be returned within 14 days from the date of notification of the withdrawal, in the same condition in which they were received, including the packaging. If the User does not return the Products within 14 days of withdrawal or at our request (if earlier), BF will be able to collect the Products from the User at its expense.

16.5 The User is required to observe the necessary diligence in the care of the BF Products in his possession. In the event of default, BF reserves the right to deduct the cost of any deterioration of the Products, up to the price, from the amount to which the User would otherwise be entitled as a refund in the event of withdrawal.

16.6 The recipients of gifts have the right to have the non-refundable goods replaced or can request that the refund be made in favor of the User who purchases the Products. To replace the chosen gift or to request a refund credit to the purchasing User, please contact us by phone or e-mail. Reimbursement is due within 14 days from, respectively:

-> if the Products have not been delivered to the shipping address indicated by you within 30 days from the conclusion of the Contract, from the sending of our confirmation via e-mail that your Order has been cancelled;

-> if the Products have been delivered to you, from receipt of the Products returned by you or from the day on which proof that you have returned the Products is provided, whichever is earlier.

16.7 During the Cooling Off Period, the User has the right to a refund of the full price of the Products (subject to any deductions due due to use or damage to the Products) as well as the standard shipping costs. The cost of returning the Products will not be refunded to the User.

16.8 In the event that the payment for the Products was made by card, the refund will take place by re-crediting the amount to the payment card account which was originally charged.

16.9 Once the Cooling Off Period as indicated above has expired, the User will not be entitled to any refund if he decides to return it.

16.10 Unless otherwise agreed between the parties, the User cannot exercise the right of withdrawal, inter alia, in the following cases:

-> BF products made with special customization for the User;

-> products which by their nature cannot be returned or are liable to be damaged;

-> in all other cases provided for by law with particular reference to art. 59 Consumer Code.

16.11 In any case, the right of withdrawal is excluded if the Products have been used or manipulated in a way other than what is strictly necessary to establish their characteristics and functioning.

17. CONSERVATION OF THE CONTRACT

17.1 The Order documents are memorized, kept and archived by BF at its headquarters, for the fulfillment necessary for the execution of the Contract, as well as for the related fulfillment and prescriptions required by law, in compliance with the Privacy Code (Legislative Decree 196/2003) and EU Regulation 2016/679 of 27 April 2016.

17.2 The User may request to access and view these documents, upon written request to be sent to BF at least 7 previous working days by registered letter with return receipt. The User may ask BF to provide an electronic and/or paper copy of the Order documents, against payment of the cost of the reproduction and the support provided.

17.3 In any case, the User is required to memorize, keep and archive both an electronic and paper copy of the Contract.

18. PROCESSING OF PERSONAL DATA

18.1 The processing of personal data provided by the User will take place in compliance with the provisions of Legislative Decree 30 June 2003, n. 196 (“Code regarding the protection of personal data”) and pursuant to art. 13 of EU Regulation 2016/679 of 27 April 2016 and its subsequent amendments and additions.

18.2 To this end, BF provides the User with specific information which is always available on the Site and reported in the order confirmation.

19. APPLICABLE LAW

19.1 These General Conditions and the relative Sales Contract concluded between BF and the User are governed by Italian law and, in particular, by Legislative Decree no. 70/2003 on electronic commerce as well as, with reference only to consumer customers, as defined above in art. 1, Legislative Decree no. 206/2005 (Consumer Code), except for the mandatory provisions of the law of the User’s country of residence which may be applicable.
